Terms of Service

By accessing or using any Vektus product or service, including the Helios intelligence platform and this website (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Vektus Technologies Inc. (“Vektus,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to “you” include both you individually and the organization.

Our Services are currently available to users in jurisdictions where they are not prohibited by applicable law. We reserve the right to restrict access in any jurisdiction at our sole discretion.

Access to certain Services, including the Helios platform, requires registration and approval. Beta access is granted at our sole discretion and may be revoked at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@vektus.io of any unauthorized use of your account.

You may not share, sell, transfer, or otherwise provide access to your account to any third party without our express written consent. Each account is for use by a single individual unless otherwise agreed in writing.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users or the integrity of our platform.

Vektus provides artificial intelligence and machine learning systems designed to transform complex data into clear, understandable intelligence. Our flagship product, Helios, is an intelligence platform that analyzes market signals, on-chain and off-chain data, and delivers findings in natural language.

Beta Services: Helios is currently offered as a beta product. Beta services are provided “as is” for evaluation and feedback purposes. Features, functionality, and availability may change without notice during the beta period.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice where practicable.

Important: The information and analysis provided through Helios and our other Services is for informational and educational purposes only. Nothing provided by Vektus constitutes financial advice, investment advice, trading advice, or any other professional advice.

Our Services are designed to help you understand complex information — not to make decisions for you. You are solely responsible for evaluating the information provided and for any decisions you make based on it. Past performance of any analysis or signal is not indicative of future results.

You should seek independent professional advice before making any investment, trading, or financial decisions. Cryptocurrency and digital asset markets are highly volatile and speculative. You may lose some or all of any funds you invest.

Vektus is not a registered investment adviser, broker-dealer, financial institution, or financial planner and does not hold itself out as such.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

• —Use the Services in any way that violates applicable laws or regulations
• —Attempt to gain unauthorized access to any part of our platform or other users' accounts
• —Use automated means to scrape, crawl, or extract data from our Services without permission
• —Reverse engineer, decompile, or attempt to derive the source code of our platform or AI models
• —Use outputs from our Services to train competing AI or machine learning models
• —Transmit malware, viruses, or any code designed to harm our systems or users
• —Impersonate any person or entity or misrepresent your affiliation with any person or entity
• —Engage in market manipulation or use our Services in furtherance of illegal trading activity
• —Share your access credentials or allow others to use your account
• —Reproduce, redistribute, or resell access to our Services or outputs without authorization

We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of access and referral to law enforcement.

All content, features, and functionality of our Services — including but not limited to software, algorithms, AI models, text, graphics, logos, and design — are owned by Vektus or our licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes, subject to these Terms. This licence does not include the right to sublicence, modify, copy, distribute, or create derivative works based on our Services or content.

You retain ownership of any information or content you submit to us. By submitting content, you grant Vektus a non-exclusive, worldwide, royalty-free licence to use, process, and display such content solely for the purpose of providing and improving our Services.

Outputs generated by our AI systems are provided for your use subject to these Terms. You may not represent AI-generated outputs as having been independently produced, or use them in ways that violate applicable laws.

Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or timeliness of any information provided through the Services, including market data, AI-generated analysis, or signals.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEKTUS AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL VEKTUS’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VEKTUS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow limitations on liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Vektus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another person or entity.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be finally resolved by binding arbitration administered in Toronto, Ontario, Canada, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree to resolve disputes with Vektus on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration to the fullest extent permitted by law.

You may stop using our Services at any time. You may request account deletion by contacting support@vektus.io.

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services immediately ceases.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
